These Terms & Conditions ("Terms") are a binding agreement between you and the operator of uAgreed ("uAgreed", "we", "us"). By signing up, logging in, or otherwise using the app, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy. If you do not agree, do not use uAgreed.
1. Eligibility
You must be legally able to enter into a binding agreement to use uAgreed. This normally means you have reached the age of majority where you live. If you are below that age, you may use uAgreed only with the knowledge and consent of a parent or legal guardian who agrees to these Terms and takes responsibility for your use and any arrangement you make. You also confirm that you are not barred from using the app under any applicable law.
2. What uAgreed is — and is not
uAgreed is a self-service tool that lets people record, organize, and track loan and rental arrangements between themselves and generate related documents and reminders. It also lets owners post rental listings that other users can browse and request, and lets renters send rental requests — but uAgreed only hosts the listings and passes along requests. uAgreed is NOT a bank, lender, borrower, creditor, collection agency, broker, escrow, payment processor, financial institution, law firm, real-estate broker or agent, property manager, or party to any arrangement between users. We do not lend, borrow, hold, transfer, or guarantee any money, and we do not own, inspect, endorse, or manage any property, vehicle, or item listed.
3. No professional advice
Nothing in uAgreed — including any template, generated document, calculation, label, or content — is legal, financial, tax, accounting, or other professional advice. You are solely responsible for deciding whether any arrangement is appropriate and lawful for you, and for seeking your own independent professional advice.
4. Arrangements are strictly between users
Any loan, rental, interest, fee, payment, balance, or agreement recorded in uAgreed is solely between the users involved. We do not verify, endorse, guarantee, or take responsibility for the identity, honesty, or conduct of any user, the accuracy of any information entered, whether money is actually lent, repaid, or received, or whether any arrangement or document is valid or enforceable. You deal with other users entirely at your own risk.
5. Your documents, records, and data are yours to use
Agreements, contracts, PDFs, records, and other data in uAgreed are generated from the information you and other users provide. They are intended as helpful templates and records for your own use. You are free to keep, download, and use them for your own purposes — including as a record of your arrangement or as supporting evidence in a dispute, claim, or other legal matter between you and another user. At the same time, uAgreed does not guarantee that any document, record, or data is complete, accurate, legally valid, or enforceable in your particular situation, and whether it is accepted or given weight depends on the facts and the laws that apply to you, which are outside our control. You are responsible for reviewing what you generate, keeping your own copies, and confirming it meets any requirements that apply to you.
6. Verification and trust signals are not guarantees
Any verification badge, trust signal, risk note, history indicator, or report shown in uAgreed is a best-effort, automated or user-submitted aid only. It does not guarantee a user’s identity, ownership, creditworthiness, or good faith, and must not be relied on as a substitute for your own due diligence.
7. Global availability and your local laws
uAgreed may be downloaded and used in many countries. Laws on lending, interest, usury, licensing, rentals, consumer protection, taxes, and data differ from place to place, and some arrangements or features may be restricted or unlawful where you are. You are solely responsible for ensuring that your use of the app, and every arrangement you enter into, complies with all laws that apply to you. We make no representation that uAgreed is appropriate or available for use in any particular location.
8. Your account and security
You must provide accurate information and keep it up to date. You are responsible for maintaining the security of your account and sign-in method and for all activity that occurs under your account. Notify us promptly of any unauthorized use. We may limit accounts, including one account per device, to protect the service. Optional on-device protections, such as app lock using your device biometrics or a PIN, are provided for your convenience on a best-effort basis, are stored only on your device, and do not guarantee against unauthorized access; you remain responsible for securing your device and account.
9. Acceptable use
You agree not to use uAgreed to: break any law or facilitate any unlawful loan, interest rate, or activity; commit fraud, deception, harassment, threats, extortion, or abusive collection; engage in money laundering, terrorist financing, or sanctions evasion; impersonate others or submit false, misleading, or infringing information; upload malware or attempt to breach, overload, scrape, reverse engineer, or circumvent limits or security of the app; or use the app to harm others or uAgreed. We may remove content and suspend accounts that, in our judgment, violate this section.
10. Your content and licence to operate
You retain ownership of the information, documents, and uploads you submit ("Your Content"). You are responsible for Your Content and confirm you have the right to submit it. You grant uAgreed a worldwide, non-exclusive licence to host, store, process, display, and transmit Your Content solely to operate, secure, and improve the service (for example, sharing agreement details with the other party to a transaction). Details of a shared arrangement are visible to the other party involved. Messages you send through in-app chat — whether to another user in a transaction or to our support team — are Your Content, are shared with the intended recipient, and may be stored and reviewed to operate the service, resolve issues, and keep it safe.
11. Pro plan, payments, and taxes
Some features are available through an optional paid plan ("Pro"). Purchases, renewals, cancellations, and refunds are handled by the app store you buy through and are governed by that store’s terms — not by us. Prices and features may change. You are responsible for any taxes associated with your purchase. Except where required by law or the app store, payments are non-refundable.
12. Third-party services
uAgreed relies on third parties such as app stores, cloud hosting, authentication, analytics, and billing providers. We are not responsible for third-party services, their availability, or their terms, and your use of them may be subject to their own agreements.
13. Notifications and reminders are best-effort
Reminders, due-date alerts, and notifications are provided on a best-effort basis and may be delayed, missed, or not delivered for reasons outside our control. You must not rely on them as your sole means of tracking deadlines, payments, or obligations, and we are not responsible for any consequence of a missed or late notification.
14. Privacy
Our handling of personal information is described in our Privacy Policy, available at uagreed.com/privacy-policy. By using uAgreed you also agree to that policy.
15. Service changes and availability
We may add, change, suspend, or discontinue any part of the app at any time, with or without notice. We do not guarantee that the app will be uninterrupted, timely, secure, error-free, or that data will never be lost, and we may set or change limits on features and storage.
16. Disclaimer of warranties
To the maximum extent permitted by law, uAgreed is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, non-infringement, uptime, or that arrangements or documents will be valid or enforceable. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.
17. Assumption of risk and release between users
You acknowledge that lending, borrowing, and renting between individuals carry real risk, including non-payment, disputes, and loss. Because uAgreed is only a record-keeping tool and not a party to your arrangements, you release uAgreed and its operator, owners, and staff from any claim, demand, or damages of every kind arising out of or connected to any dispute, loss, or arrangement between you and any other user.
18. Limitation of liability
To the maximum extent permitted by law, uAgreed and its operator will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of money, profits, data, goodwill, or unpaid or disputed amounts, arising from or related to the app or any arrangement between users, even if advised of the possibility. Our total aggregate liability for any claim will not exceed the greater of the amount you paid us for Pro in the 12 months before the claim or USD 50. Nothing in these Terms limits any liability that cannot be limited under applicable law.
19. Indemnification
You agree to defend, indemnify, and hold harmless uAgreed and its operator, owners, and staff from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the app, Your Content, any arrangement you enter into, your violation of these Terms, or your violation of any law or the rights of any third party.
20. Suspension and termination
We may suspend, limit, or terminate your access to uAgreed at any time, with or without notice, including if we believe you have violated these Terms or any law, or to protect users or the service. You may stop using the app and request account deletion at any time. Sections that by their nature should survive termination (including disclaimers, release, limitation of liability, and indemnification) will survive.
21. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which the operator of uAgreed is established, without regard to conflict-of-law rules, except where mandatory consumer-protection laws of your country of residence provide you with additional rights that cannot be waived. Where permitted by law, you agree that disputes with uAgreed will be resolved individually and not as part of a class or representative action.
22. General
If any provision of these Terms is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor. We are not liable for delays or failures caused by events beyond our reasonable control. These Terms, together with the Privacy Policy, are the entire agreement between you and us about the app.
23. Changes to these Terms
We may update these Terms from time to time. When we do, we will update the date above. If you continue to use uAgreed after an update, you accept the updated Terms.
